Strategic Change

Brand engagement, M&A, Private Equity, Turnaround      Spring 2008

Mergers and Acquisitions

Deal or no deal? A deal without Human Capital is no deal.

Despite compelling evidence that Human Capital is a vital to a merger, many M&A deals overlook it. The result? A deal that is more likely to fail, giving dissatisfaction to merging parties.

Labovitch uses an important Intangible Assets Model in factoring Organisational, Relational and Human capital for Due Diligence, Post Merger Integration and Turnaround.

Intangible Assets Model
Organisational Capital Relational Capital Human Capital
Culture and market convergence Brand Leadership
Governance Client intimacy Employees
Agility Client loyalty Development and management
Communication and team working External networks Engagement
Energy and clarity Internal networks Productivity
Organisational structure Culture
Know how and innovation

We combine this model with assessment of tangible assets such as P&L and information systems. Clients look for value from our interventions, and there is no greater value than blueprints for a merged organisation which are financially, organisationally and culturally sound. Labovitch continues to lead UK business in offering Human and Organisation assessment for M&A deals. Find out more

Business Engagement of Brand

Great Leap Forward

It's official, following our industry lead in delivering business engagement with branding, the Design Business Association (DBA) is now itself earnestly engaged on the issue.

DBA asked Labovitch to join an internal committee advising on the integration of design into business.

We advised, “Branding is not an esoteric art, reserved for rarefied advertising and marketing gurus. Without traction in the organisation you’re spinning your wheels”. The intention is to get businesses and the business community fully realising the value from good branding design.

It’s easy. If staff behaviour supports your values then you are living and breathing an identity which is exciting and contagious for your staff and your customers.

Value naturally follows from high motivation, focus and performance, and its not long before this is reflected in the financials. Indeed, some of our work has doubled the share price of our clients.

Delivering value requires design and business change to work in harmony – the rest ‘will be history’.

Creating True Value from Branding

A good brand commands more than half a company’s asset value. This so called ‘goodwill’ is exactly that. The goodwill that emanates from high quality – service, products and people.

It’s no good having just ‘look and feel’ of a design that stands alone. A picture on the wall is meaningless and hollow unless you can relate to it.

That’s why the truly best companies 'live their brand'. After all it's their identity which represents what they stand for and how their people behave.

It's not magic. It's fact and good practice. Successful companies live their promise – the brand promise. The way to achieve this is through engaging staff and customers through business engagement – and delivering benefits to your client.

Private Equity & Venture Capital

Equity + Equity = Good Business

Leon Labovitch

Leon Labovitch delivered the keynote address to mark the launch of Sir David Walker’s 'Walker Review' to Private Equity houses in London.

A packed audience digested Walker's recommendations – responding to media criticism of some recent large PE deals - to balance financial acumen with organisational readiness. There are wide ranging implications for General Partners, Portfolio Companies and the British Venture Capital Association (BVCA).

Equity + Equity = Good Business

Good communications are at the heart of the recommendations where a change and engagement strategy is needed for employees, customers, suppliers, policies, the environment and wider community.
